PLEASE READ THESE TERMS CAREFULLY BEFORE USING ALWAYSVIGIL. BY CREATING AN ACCOUNT OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By accessing or using AlwaysVigil ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and SKY LOOK LLC, the company that owns and operates alwaysvigil.com ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Service Description

AlwaysVigil is an automated life check-in service that allows users to:

• Set up periodic check-in reminders
• Designate recipients to receive notifications
• Prepare messages to be delivered to recipients if check-ins are missed
• Manage their account settings and preferences

3. Personal Use Only

THIS SERVICE IS PROVIDED FOR PERSONAL, NON-COMMERCIAL USE ONLY. You may not use AlwaysVigil for:

• Any commercial, business, or professional purposes
• Resale, redistribution, or sublicensing to third parties
• Operating a service bureau or providing services to others
• Any illegal, harmful, or malicious activities
• Harassment, stalking, or threatening communications
• Distributing harmful content, malware, or illegal materials

Violation of this provision may result in immediate termination of your account without refund.

4. User Responsibilities

As a user of AlwaysVigil, you are responsible for:

• Providing accurate and truthful registration information
• Maintaining the security of your account credentials
• Responding to check-in reminders in a timely manner
• Ensuring your recipient contact information is current and accurate
• Obtaining consent from recipients before adding them to your account
• The content of messages you create for your recipients
• Complying with all applicable laws and regulations

5. Prohibited Content

You agree not to use the Service to store or transmit:

• Content that is illegal, defamatory, or infringes on intellectual property rights
• Threats, harassment, or content intended to harm others
• Content that promotes illegal activities or violence
• Malware, viruses, or other harmful code
• Spam, phishing attempts, or fraudulent content
• Content that violates the privacy of third parties

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM:

• Any warranty that the Service will be uninterrupted, timely, secure, or error-free
• Any warranty regarding the reliability, accuracy, or completeness of the Service
• Any warranty that defects will be corrected
• Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement

We do not guarantee that emails will be delivered successfully due to factors beyond our control.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DAMAGES ARISING FROM: failure to deliver notifications, false alarms, missed check-ins, unauthorized account access, or service interruptions

8. Indemnification

You agree to indemnify, defend, and hold harmless AlwaysVigil, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) the content of your messages.

9. Subscription and Payment

AlwaysVigil offers a premium subscription service:

• Pricing: $20 per year, billed annually
• Automatic Renewal: Subscriptions automatically renew unless cancelled
• Cancellation: You may cancel at any time through your account settings
• Refunds: We do not offer refunds for partial subscription periods
• Price Changes: We reserve the right to change pricing with 30 days notice

10. Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, fraudulent activity, or extended inactivity (12+ months).

11. NO GUARANTEE OF MESSAGE DELIVERY

CRITICAL LIMITATION: CRITICAL LIMITATION: AlwaysVigil makes NO GUARANTEE that messages will be delivered to recipients. Factors beyond our control may prevent delivery, including email provider issues, recipient spam filters, technical failures, business closure, or force majeure events.

⚠️ THIS SERVICE SHOULD NOT BE YOUR ONLY METHOD OF COMMUNICATING CRITICAL INFORMATION TO RECIPIENTS. You should maintain alternative means of communication.

12. NO VERIFICATION OF USER STATUS

AlwaysVigil does NOT verify if a user has actually died or become incapacitated. Messages are triggered SOLELY by failure to respond to check-in emails. False triggers may occur due to vacation, forgotten responses, or email delivery issues.

YOU ARE SOLELY RESPONSIBLE for responding to check-in emails promptly to prevent accidental message delivery.

13. Not a Legal Document Service

AlwaysVigil is NOT a substitute for legal estate planning documents such as wills, trusts, or powers of attorney. The messages delivered through our Service have no legal standing or binding effect. We strongly recommend consulting with a licensed attorney for proper estate planning.

14. Data Security Limitations

DO NOT store highly sensitive information such as Social Security numbers, bank account passwords, credit card numbers, or cryptocurrency private keys in messages.

15. No Refunds After Message Delivery

If recipient messages are sent due to user inactivity, subscription fees are NON-REFUNDABLE. Once messages are delivered, they cannot be recalled or unsent.

16. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
